IMPORTANT NOTICE
THIS AGREEMENT CONTAINS IMPORTANT LEGAL RIGHTS AND OBLIGATIONS, INCLUDING ASSUMPTION OF RISK, RELEASE OF LIABILITY, INDEMNIFICATION OBLIGATIONS, AND RESEARCH USE ONLY RESTRICTIONS.
PLEASE READ CAREFULLY BEFORE PURCHASING, ACCESSING PRODUCT INFORMATION, OR COMPLETING AN ORDER.
By accessing the Echelon Peptides LLC website (“Website”), creating an account, placing an order, or accepting this Agreement electronically, you (“Customer,” “User,” or “Purchaser”) acknowledge that you have read, understood, and voluntarily agree to be legally bound by this Waiver & Indemnification Agreement.
1. ACKNOWLEDGMENT OF RESEARCH USE ONLY (RUO)
I acknowledge and agree that all Products sold by Echelon Peptides LLC (“Echelon Peptides,” “Company,” “we,” “our,” or “us”) are offered exclusively for lawful laboratory research purposes.
I further acknowledge that Products are:
- Not intended for human consumption.
- Not intended for veterinary use.
- Not intended for clinical use.
- Not intended for therapeutic use.
- Not intended for diagnostic use.
- Not intended to diagnose, treat, cure, mitigate, or prevent disease.
I understand that Products have not been evaluated or approved by the United States Food and Drug Administration (FDA) for human or veterinary use unless expressly stated otherwise.
I agree that any use inconsistent with these restrictions constitutes a material violation of this Agreement and the Company’s Terms & Conditions.
2. QUALIFIED RESEARCHER REPRESENTATION
By purchasing Products, I represent and warrant that:
- I possess the education, training, and experience necessary to safely handle laboratory research materials.
- I understand the risks associated with research compounds.
- I will use Products only in compliance with applicable laws, regulations, and accepted laboratory practices.
- I will maintain appropriate storage, handling, safety, and documentation procedures.
I acknowledge that improper handling, storage, transportation, or use may affect Product quality and safety.
3. AGE VERIFICATION & LEGAL ELIGIBILITY
I certify that:
- I am at least twenty-one (21) years of age.
- I am legally authorized to purchase research materials in my jurisdiction.
- I am not purchasing Products on behalf of a minor.
- I will provide verification information if requested.
I understand that Echelon Peptides reserves the right to deny service, cancel orders, or restrict access if eligibility requirements cannot be verified.
4. CUSTOMER COMPLIANCE RESPONSIBILITY
I acknowledge that I am solely responsible for ensuring compliance with all applicable:
- Federal laws
- State laws
- Local laws
- Import regulations
- Export regulations
- Laboratory safety requirements
- Research regulations
I understand that Echelon Peptides makes no representation regarding the legality of any Product in any particular jurisdiction.
Responsibility for lawful possession, storage, transportation, and use rests entirely with me.
5. NO MEDICAL CLAIMS
I acknowledge that Echelon Peptides makes no medical, therapeutic, pharmaceutical, veterinary, or healthcare claims regarding any Product.
I understand that:
- Website content is provided for informational purposes only.
- Scientific literature references do not constitute Product claims.
- Research citations do not imply intended use.
- No statement should be interpreted as medical advice.
6. LIMITED PRODUCT WARRANTY
I acknowledge that Products are provided “AS IS” and “AS AVAILABLE.”
Echelon Peptides warrants only that Products will substantially conform to the written specifications and Certificate of Analysis (CoA) applicable to the batch shipped at the time of shipment.
Except for this limited warranty, the Company disclaims all other warranties to the fullest extent permitted by law, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Research outcomes
- Experimental success
- Future stability
Nothing in this Agreement excludes warranties that cannot legally be disclaimed.
7. ASSUMPTION OF RISK
I knowingly and voluntarily assume all risks associated with:
- Purchasing Products
- Possessing Products
- Transporting Products
- Storing Products
- Handling Products
- Research activities involving Products
- Disposal of Products
I understand that research compounds involve inherent risks and that such risks may include property damage, contamination, loss, regulatory action, or other foreseeable and unforeseeable consequences.
I voluntarily assume all such risks.
8. RELEASE OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, I RELEASE, WAIVE, AND DISCHARGE ECHELON PEPTIDES LLC, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUCCESSORS, AND AGENTS FROM ANY CLAIMS ARISING FROM OR RELATED TO:
- Product purchase
- Product possession
- Product transportation
- Product storage
- Product handling
- Product use
- Product misuse
- Disposal of Products
- Reliance upon Website content
This release does not apply to liability arising from:
- Fraud
- Intentional misconduct
- Willful injury
- Gross negligence where non-waivable under applicable law
- Any liability that cannot legally be waived
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
ECHELON PEPTIDES LLC SHALL NOT BE LIABLE FOR ANY:
- INDIRECT DAMAGES
- INCIDENTAL DAMAGES
- SPECIAL DAMAGES
- CONSEQUENTIAL DAMAGES
- EXEMPLARY DAMAGES
- PUNITIVE DAMAGES
- LOST PROFITS
- LOST REVENUE
- LOST DATA
ARISING OUT OF OR RELATING TO PRODUCTS OR WEBSITE USE.
THE COMPANY’S MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
10. INDEMNIFICATION
I agree to defend, indemnify, and hold harmless Echelon Peptides LLC and its owners, officers, employees, affiliates, contractors, successors, and agents from and against any:
- Claims
- Damages
- Losses
- Liabilities
- Judgments
- Settlements
- Regulatory actions
- Fines
- Penalties
- Costs
- Attorneys’ fees
arising from or related to:
- My violation of this Agreement.
- My violation of applicable law.
- Product misuse.
- Unauthorized use.
- Personal injury claims.
- Property damage claims.
- Third-party claims arising from my conduct.
11. CUSTOMER VERIFICATION & KYC ACKNOWLEDGMENT
I acknowledge that Echelon Peptides utilizes compliance and fraud-prevention measures that may include:
- Age verification
- Email verification
- Mobile one-time-password (OTP) verification
- Identity verification
- KYC screening
- Fraud-prevention monitoring
I understand that providing false, incomplete, or misleading information may result in:
- Account suspension
- Order cancellation
- Permanent refusal of service
- Reporting to payment processors or fraud-prevention vendors where legally appropriate
12. ELECTRONIC CONSENT
I agree that my electronic acceptance of this Agreement constitutes a legally binding electronic signature under:
- The California Uniform Electronic Transactions Act (UETA)
- The Federal Electronic Signatures in Global and National Commerce Act (ESIGN)
I agree that electronic records and electronically stored versions of this Agreement shall have the same force and effect as original signed documents.
13. INCORPORATED POLICIES
I acknowledge that the following documents are incorporated into this Agreement by reference:
- Terms & Conditions
- Privacy Policy
- Cookie Policy
- Disclaimer
- Shipping Policy
- Refund Policy
By accepting this Agreement, I agree to be bound by those policies as they may be updated from time to time in accordance with their stated procedures.
14. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.
15. DISPUTE RESOLUTION
Any dispute arising from this Agreement shall be resolved in accordance with the arbitration provisions contained in the Company’s Terms & Conditions.
If any claim is permitted to proceed in court, the parties agree that venue shall be exclusively located in San Diego County, California, except where applicable law requires otherwise.
16. SEVERABILITY
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
The unenforceable provision shall be modified to the minimum extent necessary to achieve its intended purpose while remaining enforceable.
17. ACKNOWLEDGMENT & ACCEPTANCE
BY CHECKING THE ACCEPTANCE BOX, CREATING AN ACCOUNT, ACCESSING PRODUCT INFORMATION, OR COMPLETING A PURCHASE, I ACKNOWLEDGE THAT:
✓ I HAVE READ THIS AGREEMENT IN ITS ENTIRETY.
✓ I UNDERSTAND ITS TERMS.
✓ I AM AT LEAST 21 YEARS OF AGE.
✓ I UNDERSTAND ALL PRODUCTS ARE FOR RESEARCH USE ONLY.
✓ I ACCEPT ALL RISKS ASSOCIATED WITH PURCHASE, POSSESSION, STORAGE, HANDLING, AND USE OF PRODUCTS.
✓ I AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT.
✓ MY ELECTRONIC ACCEPTANCE CONSTITUTES A LEGALLY VALID SIGNATURE.
